TERMS OF SERVICE
Living Brave
Terms and Conditions
Last updated October 1, 2026 · These terms apply to every Living Brave program, event, membership, digital service and software product.
Section 1Who we are and what these terms cover
These Terms and Conditions govern your purchase and use of all products, programs, events, memberships, subscriptions, software and services offered by Living Brave LLC (“Living Brave”, “we”, “us”), a Puerto Rico limited liability company.
The Services include, without limitation:
- The Vortex, including the Vortex Experience, Vortex Residence, Vortex Alumni and any successor tier
- All Living Brave live events, virtual events, summits, challenges and workshops
- Partner, sponsor and speaker packages
- Masterminds, retreats and coaching programs
- All digital services, digital products, courses, recordings and downloadable materials
- Memberships and recurring subscriptions
- Brave AI, Shosh AI and any other software or AI tool we make available
By purchasing, enrolling in, accessing or using any of the Services, you accept these Terms. If you do not accept them, do not purchase or use the Services.
You must be at least 18 years old to purchase or use the Services.
Section 2How these terms work with your own agreement
Order of precedence. If you have signed an individual agreement with us for a particular Service, that signed agreement governs that Service and prevails over these Terms to the extent of any conflict. These Terms apply to everything your signed agreement does not cover, and to every Service for which you have not signed a separate agreement.
Only your own signed agreement counts. Templates, sample contracts, earlier versions, and documents sent to you in error or linked from any email, page or portal do not form part of your agreement with us. The agreement that binds you is the one you signed. If you are unsure which that is, email us and we will send you a copy.
Nothing outside a written agreement binds us. No statement, promise, bonus, inclusion, discount or assurance is binding unless it is set out in these Terms, in your signed agreement, or confirmed by us in writing. This includes anything said on a call, in a social media message or comment, in a direct message, in a voice note or video, or verbally at an event.
These Terms may be updated. The version that applies to a purchase is the version published at the time you made it. Earlier versions are available on request.
Section 3Enrolment and your agreement term
Program terms, start dates, end dates and inclusions are set out at the point of purchase or in your signed agreement.
Unless stated otherwise, program terms run for twelve months from the start date, and your access ends on the expiration date.
We will give you not less than thirty days’ written notice before your term ends, to the email address on your account.
Enrolling commits you to the full term and the full amount payable, whether or not you participate.
Section 4Payment
Prices are in US dollars and are stated at the point of purchase.
You may be offered payment in full or by instalments. Choosing instalments does not reduce the total amount owed. The full amount remains payable across the term.
Where a deposit is required, the deposit is non-refundable and is applied to your total.
Payments and instalments are collected using the payment method you provide, through our payment providers, which include Stripe, PayPal and Wise and may include other providers from time to time. You authorise us to charge that method for all amounts due, and you are responsible for keeping your payment details current.
Failed payments. If a payment fails we will notify you and may re-attempt it. If it remains unpaid we may suspend or limit your access until the account is current. Suspension does not reduce what you owe or extend your term.
Varying your schedule. We may, at our discretion and at your request, agree to change how and when you pay. Any such variation changes the schedule only. It does not reduce the total owed, does not shorten your term, and must be confirmed by us in writing.
Payments are handled by third-party providers under their own terms. We do not store full card details.
Section 5Refunds, cancellation and transfers
All payments are final and non-refundable, except where these Terms expressly say otherwise or where a refund is required by law. This applies to every Service without exception.
Enrolling reserves your place and commits resources to you. This applies whether or not you attend, participate, log in or use the materials.
No partial refunds are given for unused time, unattended sessions, unviewed content, or for ending your participation early.
Places, memberships and tickets are not transferable to another person without our written consent.
Ending your participation. Where your signed agreement provides a route to end early, that route applies on its own terms. Where it does not, your obligation to pay the full amount continues whether or not you continue participating.
Any reduced settlement, buyout, payment pause or other concession we agree is made at our discretion, as a one-off, without admitting fault and without setting any precedent, and must be recorded in writing and signed.
Section 6Disputes, chargebacks and reversals
You agree to raise any billing concern with us first, at team@shoshannaraven.com, and to give us a reasonable opportunity to resolve it.
You agree not to initiate or support any chargeback, payment dispute, reversal, stop payment or bank recall for any amount properly due under these Terms or your agreement.
If you initiate or support such a dispute, any concession, reduced settlement, discount, payment plan or pause we have granted you immediately ceases to have effect, and the full amount owing under your original agreement becomes immediately due in a single sum, less amounts already paid and retained by us.
We may recover amounts owing together with any fees, costs and charges we incur as a result of the dispute.
Nothing in this section limits any right you have under applicable law or under your card network’s rules.
Section 7What we provide, and what we do not
What is included. The inclusions for each Service are those set out at the point of purchase or in your signed agreement. Anything not listed there is not included.
Bonuses and additional sessions. Where a bonus, one-to-one session, call or workshop is included, it must be set out in writing at the point of purchase or confirmed by us in writing. Bonuses are claimed by booking through the link or process we provide, and remain available to you to use. Bonuses are personal to you, have no cash value, and are not refundable, transferable or exchangeable.
Group sessions. Where a Service includes group calls, hot seats or Q&A, we provide the opportunity to participate. Participation within a group session is not guaranteed on any individual occasion and depends on the number of attendees and the time available. Recordings are made available where practical.
Scheduling and substitution. Dates, times, formats, facilitators and presenters may change. Sessions may be led by a Living Brave coach, contractor or guest rather than by Shoshanna Raven, unless your agreement expressly states otherwise.
We may update, restructure or replace program content, platforms and communities during your term, provided the overall value of what you receive is not materially reduced.
Discontinued products. We may discontinue a Service. If we discontinue a Service you are subscribed to, we will cancel the associated recurring billing with effect from the discontinuation date and notify you in writing. Access to that Service ends on the same date.
Section 8Access, onboarding, platforms and AI tools
Access is personal to you, non-transferable, and for your individual use only. You are responsible for your login details and for keeping them secure.
Use one email address consistently. We are not responsible for content or history that is inaccessible because you have used more than one account.
Onboarding and delivery. When your purchase completes, you are onboarded to the relevant Service automatically and your access is provisioned by our system. Your term, and your obligation to pay, begin at purchase, whether or not you sign in and whatever date you first use the Service.
If your access does not arrive or does not work. Tell us at team@shoshannaraven.com and our team will assist you until it is resolved. We will acknowledge within 48 hours. A delay, fault or error in receiving your access is a support matter. It is not a failure to deliver the Service, and it is not grounds for a refund, cancellation or chargeback.
Access ends on your expiration date unless renewed. Downloaded materials remain subject to Section 9.
Availability. We aim to keep our platforms and AI tools available, but we do not guarantee uninterrupted or error-free access. Availability may be affected by maintenance, updates, third-party providers or faults outside our control.
If something is not working, tell us at team@shoshannaraven.com. We will acknowledge within 48 hours and work to restore it. Temporary unavailability does not entitle you to a refund, reduction or extension, but where a material part of a Service is unavailable for a prolonged period we may at our discretion extend your access.
AI outputs are generated automatically, may be inaccurate, and are provided for your consideration rather than as advice. You are responsible for reviewing anything you rely on or publish.
You will not share, resell, scrape or give others access to your account or our materials, or use our Services to build a competing product.
Section 9Intellectual property and confidentiality
All materials, recordings, frameworks, templates and content we provide remain our property or that of our licensors. You receive a personal, non-exclusive, non-transferable licence to use them for your own purposes during your term.
You may not copy, record, reproduce, distribute, sell, publish or republish our materials, in whole or in part, for commercial or non-commercial purposes.
Community spaces are confidential. What other members share in a call, group or community is theirs, and you will not share it outside that space.
You grant us permission to use feedback and testimonials you give us in our marketing. You may withdraw that permission for future use by writing to us.
Section 10Conduct
Our spaces are for the benefit of every member. You agree not to behave abusively, threateningly or in a way that disrupts our ability to deliver the Services to others.
We may suspend or terminate your access for a serious or repeated breach of these Terms. Where we terminate for cause, no refund is due and amounts outstanding remain payable.
Where we terminate without cause, you are released from remaining payments for the period not yet delivered.
Section 11Events and tickets
Event tickets are non-refundable and non-transferable unless stated otherwise at purchase.
Travel, accommodation, visas, insurance and meals are your responsibility unless expressly included.
Agendas, speakers, timings, venues and formats may change.
We photograph, film and record our events. By attending you consent to appearing in that material and to our using it in marketing, unless you tell us in writing beforehand.
If we cancel an event outright, we will issue you a credit toward a rescheduled date or another Living Brave event or program. Credits are not exchangeable for cash.
Section 12Partner, sponsor and speaker packages
Partner and sponsor packages are governed by the written package description provided to you and by any separate signed agreement.
What we commit to. Deliverables and quantities are those listed in your package description. Speaking slot lengths, booth allocation and promotional placement are as described, and we will deliver them as described.
What is not guaranteed. Unless your package description states otherwise, we do not guarantee a specific booth location or level of footfall; audience numbers, attendance at your session, or leads generated; the performance of event production equipment, including audio-visual systems, slide display or confidence monitors; or any specific commercial result.
Materials you supply. Where your package requires you to supply a biography, slides, music, artwork or similar, you must provide them by the deadline we specify. We will use the materials you supply as provided. If materials reach us late or in an unusable format we will do our best but cannot guarantee their use.
Media and recordings. Where media, photography or video of your participation is included, we will provide it within 7 days of the event. If we cannot meet that date we will tell you and give you a revised one.
If something is not delivered. Tell us in writing within thirty days of the event, identifying what was not delivered. We will investigate and, where we agree a listed deliverable was not provided, we will remedy it by providing it, substituting it, or crediting the fair value of that element. This is your sole remedy in respect of package deliverables.
Section 13No guarantees
We make no guarantee of any financial, business, personal or professional result. Your results depend on your own effort, circumstances and market conditions.
Testimonials, case studies, examples and earnings figures are illustrative of what some people have achieved. They are not a promise, projection or guarantee of what you will achieve.
We are not attorneys, doctors, therapists, financial advisers or accountants. The Services are not legal, medical, psychological, tax or financial advice, nor a substitute for professional care.
You are responsible for your own decisions and for any losses you incur.
Section 14Limitation of liability
Our total liability to you, however arising, will not exceed the total amount you have actually paid us under the agreement in question.
We are not liable for indirect, incidental, special or consequential loss, including lost profits, lost revenue, lost income, business interruption or the cost of substitute services.
Nothing in these Terms excludes liability that cannot lawfully be excluded.
Section 15Privacy
We collect and handle your personal information only as needed to provide the Services, take payment, and communicate with you about your purchase.
We use third-party providers for payments, email, hosting, scheduling and community platforms, and share only what is needed for them to perform their function.
You may ask us what information we hold about you, and ask us to correct or delete it, by writing to team@shoshannaraven.com.
Section 16Resolving problems
Talk to us first. Email team@shoshannaraven.com. We aim to acknowledge within 48 hours and to give a substantive response as quickly as we reasonably can.
If we cannot resolve it between us, both parties agree to participate in good-faith mediation before starting any other proceeding.
If mediation does not resolve it, the dispute will be resolved by binding arbitration in Denver, Colorado, under the laws of the State of Colorado. The substantially successful party is entitled to reasonable costs and fees.
Section 17General
Entire agreement. These Terms, together with your signed agreement and the description of the Service at the point of purchase, are the entire agreement between us, and replace all prior discussions, representations and assurances.
No waiver. If we do not enforce a term on one occasion, that does not waive our right to enforce it later.
Severability. If any term is found unenforceable, the rest remain in full force.
Assignment. You may not assign your rights without our written consent.
Force majeure. We are not liable for failure or delay caused by events outside our reasonable control.
